Danielle L. Rose has extensive experience in representing clients in complex commercial litigation, with a focus on deal, joint venture, partnership and financial services-related matters, often involving cross-border disputes. Ms. Rose regularly represents clients in the federal and state courts as well as in arbitrations.

Prior to joining Kobre & Kim LLP, Ms. Rose litigated at Wachtell, Lipton, Rosen & Katz, where she focused on complex commercial and securities disputes, including M&A matters, as well as government regulatory defense.

 

Recent Engagements:

Financial Products & Services Litigation:

  • Representation of a commodity futures trading firm in litigation and arbitration against multiple clearing houses and futures and options merchants relating to over US $100 million of disputed trades on the InterContinental Exchange
  • Representation of a private equity firm and a limited liability company in litigation related to the transaction by which those entities acquired a popular collectibles company
  • Defense of an asset management company and certain individuals from claims of civil RICO, fraud, and breach of contract related to financing of real estate venture
  • Representation of a large regional bank, with respect to potential claims against an investment bank arising out of losses sustained from investment in a cash-flow collateralized debt obligation
  • Representation of a multi-national company in contract dispute related to alleged breach of an ISDA agreement
  • Representation of a hedge fund in preparing claims against an investment bank and asset management firm for return of US $100+ million of collateral from an ISDA contract

Joint Venture & Partnership Disputes:

  • Representation of an institutional investor in litigation relating to corporate control over joint venture investments in a South American utility company, supplying power to portions of Peru
  • Representation of a holding company operating in the South American energy sector in formulating potential litigation strategies with respect to disputes arising out of a joint venture
  • Defense of former major law firm name partner in arbitration brought by another former partner

Class & Derivative Actions:

  • Representation of a public, global technology company’s board of directors, in multiple shareholder class actions in Delaware and Florida alleging breach of fiduciary duty by the board of directors in connection with approving $2 billion acquisition by major telecommunications company
  • Successful defense of energy drink companies and certain former LLC members and investors in federal court purported class and derivative lawsuit
  • Defense of a Fortune 500 company in a parallel securities class action and shareholder derivative lawsuit

Insolvency & Debtor-Creditor Disputes:

  • Defense of a sovereign wealth fund and a monetary authority against a constructive fraudulent conveyance action related to a media company’s bankruptcy
  • Defense of an investment firm and its founder in a subsequent transfer action brought by the Court-appointed Trustee for the liquidation of Bernard L. Madoff Investment Securities LLC
  • Representation of the Cayman Islands Branch of a large investment bank in an inter-creditor dispute with a U.S. commercial bank arising out of a U.S. bankruptcy proceeding

Government Enforcement Defense:

  • Representation at trial of a former securities broker dealer in a criminal prosecution by the U.S. Department of Justice for securities and wire fraud
  • Representation of a U.S. Department of Justice Assistant U.S. Attorney in connection with a Special Prosecutor’s criminal contempt investigation arising out of the prosecution of Senator Theodore A. Stevens
  • Representation of a senior executive in connection with a U.S Securities and Exchange Commission enforcement action

Prior to joining Kobre & Kim LLP, Ms. Rose practiced at Wachtell, Lipton, Rosen & Katz. After law school, Ms. Rose clerked for the Honorable Leonard B. Sand of the U.S. District Court for the Southern District of New York.
